Terms & Conditions

In these Terms and Conditions, the following terms have the meanings set out below:

2. Acceptance of Terms

By using our website, submitting an enquiry, or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms, please do not use our website or engage our services. You must be at least 18 years of age to engage our services or enter into a binding agreement with Themisra.

3. Service Description

Themisra provides legal services in three specific practice areas within Thailand:

  1. Immigration and work permit guidance
  2. Intellectual property registration and protection
  3. Dispute resolution and mediation support

We do not practise criminal law, medical negligence law, or any other area outside the three listed above. Enquiries falling outside these areas will be respectfully declined, and where possible, we will suggest appropriate alternative specialist counsel.

4. Engagement Process

A formal engagement with Themisra begins only upon execution of a written Engagement Letter by both parties. No legal work will commence, and no attorney-client relationship will be established, prior to this step. Submitting an enquiry or attending an initial assessment meeting does not constitute an engagement or create any obligation on either party.

5. Fees and Payment

Our services are provided on a fixed-scope, fixed-fee basis. The fee applicable to each engagement is stated in the Engagement Letter and is denominated in Thai Baht (฿). Current standard fees are:

Fees are payable as specified in the Engagement Letter. Where a matter requires work outside the agreed scope, this will be discussed with you before additional work proceeds and a revised fee will be agreed in writing.

6. Client Responsibilities

You agree to provide Themisra with accurate, complete, and timely information and documentation as required for your matter. Delays or errors arising from incomplete or inaccurate information provided by the client are not the responsibility of Themisra. You are responsible for ensuring that the information you provide to us for submission to government authorities is accurate.

7. Confidentiality

All information shared with Themisra in connection with a legal matter is treated as confidential in accordance with Thai legal ethics requirements. We will not disclose client information to third parties except as necessary to deliver the agreed services, as required by law, or with your explicit consent.

8. Intellectual Property

All content on the Themisra website, including text, design, and structure, is the intellectual property of Themisra and may not be reproduced, distributed, or used without written permission. Work product produced by Themisra for a client in connection with an engagement, such as prepared applications, agreements, and correspondence, is provided for that client's use in connection with the specific matter for which it was created.

9. Disclaimers

Legal outcomes depend on many factors, including the actions of third parties, government decisions, and circumstances outside our control. Themisra makes no representation that any particular outcome will be achieved in any matter. Our obligation is to provide professional legal counsel with reasonable care and skill — not to produce a specific result. Information on our website is provided for general informational purposes only and does not constitute legal advice.

10. Limitation of Liability

To the extent permitted by Thai law, Themisra's liability to any client in connection with any engagement is limited to the fee paid for that engagement. We are not liable for indirect, consequential, or punitive damages arising from our services or the use of our website. Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

11. Termination

Either party may terminate an engagement by providing written notice to the other. In the event of termination, Themisra is entitled to payment for work completed to the date of termination. Where Themisra terminates an engagement due to client conduct that materially impairs our ability to provide the services, no refund will be due for work completed. Where a client terminates for any other reason, Themisra will calculate a fair fee for work completed and refund any balance of fees paid.

12. Dispute Resolution

Any dispute arising from these Terms or from an engagement with Themisra that cannot be resolved through direct discussion will be subject to mediation as a first step, and thereafter to the exclusive jurisdiction of the courts of Bangkok, Thailand. These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand.

13. General Provisions

These Terms, together with any Engagement Letter, constitute the entire agreement between Themisra and the client with respect to each engagement. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Failure by either party to enforce any provision does not constitute a waiver of the right to enforce it in future.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be published on this page with a revised effective date. Continued use of our website or services following publication of updated Terms constitutes acceptance of the changes.
